Software License Agreement (EULA)

Effective August 1, 2026 — governs use of Flow, Denver Auto Spa's internal business management software

This Software License Agreement ("Agreement") is between Denver Auto Spa, LLC ("Company," "we," "us," "our," the licensor of the Software) and each individual authorized to log into and use Flow ("you," "User," the licensee). Flow is proprietary software built exclusively for Company's own internal use — it is not sold, licensed, or distributed to any business or person outside Denver Auto Spa. By logging into Flow, you agree to be bound by this Agreement and by the Staff Acceptable Use Policy, which is incorporated into this Agreement by reference and governs the specific rules for how Flow is to be used day-to-day.

1. Grant of License

Subject to your continued employment or authorized engagement with Denver Auto Spa and your compliance with this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use Flow solely for the purpose of performing your job duties for Denver Auto Spa. This license does not grant you any right to use Flow for any other purpose, for any other business, or after your employment or authorization ends.

2. Ownership

Flow — including its source code, design, database structure, business logic, branding, and all related materials — is the sole and exclusive property of Denver Auto Spa, LLC. This Agreement is a license, not a sale. Nothing in this Agreement transfers any ownership interest, copyright, trademark, trade secret, or other intellectual property right in Flow to you. All rights not expressly granted here are reserved by Company.

Your day-to-day use of Flow — including how you access customer data, send communications, handle payments, and use company devices — is governed by the Staff Acceptable Use Policy. That policy is part of this Agreement, and a violation of it is a violation of this Agreement.

5. Third-Party Services

Flow integrates with third-party services, including Supabase, Netlify, Twilio, SendGrid, Intuit QuickBooks Online, and Anthropic's Claude API, to provide its functionality. Your use of Flow may involve interacting with these services. Company is not responsible for the availability, performance, or acts or omissions of these third-party services, which operate under their own respective terms.

6. Confidentiality

Through Flow you may access confidential business information, including customer data, pricing, and internal business operations. You agree to keep this information confidential and to use it only as necessary to perform your job duties, consistent with the Staff Acceptable Use Policy and any separate confidentiality obligations of your employment.

7. No Warranty

Flow is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. Company does not warrant that Flow will be uninterrupted, error-free, or free of security vulnerabilities.

8. Limitation of Liability

To the maximum extent permitted by law, Company is not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, Flow, even if advised of the possibility of such damages.

9. Term and Termination

This license is effective for as long as you remain authorized to access Flow as part of your employment or engagement with Denver Auto Spa. It terminates automatically and immediately upon the end of that employment or authorization, or upon any breach of this Agreement or the Staff Acceptable Use Policy. Upon termination, you must immediately stop using Flow, and Company may disable your access at any time, with or without notice.

10. Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any dispute arising from this Agreement will be resolved in the state courts located in Jefferson County, Colorado.

11. Changes to This Agreement

Company may update this Agreement from time to time as Flow changes. We'll update the effective date above when we do. Continued use of Flow after a change means you accept the updated Agreement.
